General terms and conditions
Status: September 2026. The German version is authoritative; this translation is provided for convenience.
1. Scope and provider
These terms govern the use of the website meldbar.ch and the web app made available on it ("meldbar"), as well as the paid "Pro" subscriptions and the library licence for software houses. The provider is meldbar, Salvatorstrasse 8, 8050 Zurich (the "provider"). The customer is the organisation that takes out a subscription (the "customer"). Deviating terms of the customer apply only if the provider has agreed to them in writing.
2. Free services
The web app and the source code of meldbar are made available free of charge under the Apache License 2.0 – "as is", without warranty and without any claim to availability, support or further development. The Apache License 2.0 governs the free services; sections 7 and 8 of these terms apply in addition.
3. "Pro" subscription
The "Pro" subscription comprises: (a) the Pro package of the web app, in particular the check protocol (PDF) for every check and every built report as well as the further functions designated as Pro on meldbar.ch as soon as they are available; the Pro package is delivered as an encrypted module via meldbar.ch and unlocked with a licence key that is valid for the customer's organisation only, must be kept confidential and must not be passed on to third parties; (b) e-mail support on working days with an answer usually within two working days, from 1 May to 30 June within one working day; (c) the adaptation of meldbar to published changes of the FTA's technical AEOI guidance and of the OECD CRS schema within 30 days of their publication, insofar as the change is technically feasible with the tool; (d) a one-hour onboarding by video conference. The check protocol records which automated checks were performed with which result; it is not a confirmation of the accuracy or completeness of the reported data. The price depends on the number of reporting financial institutions (vehicles) the customer files reports for, according to the price list on meldbar.ch; the customer reports changes in the number of vehicles by the renewal date. Users and reports are not limited.
3a. Assisted first report
The "assisted first report" is a one-off service: a one-hour session by video conference with screen sharing in which the customer builds their first productive report with meldbar and the provider explains the findings; the check protocol for the report is included. The customer's file is not transmitted to the provider. The service is not a check of the accuracy or completeness of the reported data (section 5). The price according to the price list is payable after the session; appointments not attended and cancelled less than one working day in advance count as delivered.
4. Library licence for software houses
The library licence comprises technical support for integrating the Python library into the customer's products, early notice of schema and rule changes and, on request, naming as a partner. The library itself is licensed under the Apache License 2.0; the licence does not change that.
5. No advice; responsibility of the customer
meldbar checks files against the published schemas and rules. The provider gives no tax, legal or compliance advice and does not decide which accounts or persons are reportable. The customer alone remains responsible for the content, accuracy and completeness of their reports, for meeting deadlines, for uploading to the AEOI portal and for backing up their data, in particular the registry file. Whether a report is accepted is decided solely by the FTA's AEOI portal.
6. Prices, payment, term
Prices are in Swiss francs, per year and organisation, plus any VAT. The invoice is issued yearly in advance and is payable within 30 days. The subscription starts with the order confirmation, runs for twelve months and renews for twelve months at a time unless terminated by e-mail 30 days before expiry. Price changes are announced at least 60 days before the renewal; in that case the customer may terminate as of the renewal date. In case of late payment the provider may suspend the services after a reminder.
7. Warranty
The provider strives for a carefully built and up-to-date tool; software is, however, never free of errors. The provider does not warrant that meldbar prevents every rejection by the portal, is available without interruption or works with every browser environment of the customer. Reported errors are fixed within a reasonable time as part of the subscription. Further warranty claims are excluded to the extent permitted by law.
8. Liability
The provider's liability for slight negligence is excluded. To the extent permitted by law, liability is also excluded for indirect and consequential damage, lost profit, loss of data, and for fines, sanctions or subsequent claims by authorities arising for the customer from incorrect, late or omitted reports. In any case the provider's total liability is limited to the fee paid by the customer in the current contract year. Mandatory liability for unlawful intent and gross negligence (art. 100 CO) and for personal injury remains unaffected.
9. Data protection
meldbar is built so that the customer's account data cannot technically reach the provider: checking, building and encryption take place in the customer's browser; no server of the provider processes files. The provider processes only the customer's contact and contract data, and only to perform the contract. The privacy policy on meldbar.ch applies.
10. Intellectual property
The source code of meldbar is licensed under the Apache License 2.0. The name, logo and design of meldbar remain the property of the provider and may not be used for own products without consent; naming as a partner under section 4 is excepted.
11. Changes to these terms
The provider may change these terms. Changes are communicated to the customer by e-mail at least 30 days before they take effect; if the customer does not object before that date, the new terms apply. In case of an objection the subscription ends at the next renewal date.
12. Applicable law and jurisdiction
Swiss law applies, excluding the conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Zurich. Should a provision of these terms be invalid, the remaining provisions remain in force.
